These Terms of Use govern your access to and use of the STOR Platform, including any content, functionality, and services (collectively, the “Services”) offered on or through our websites, www.storpartners.com and www.storholdings.com, and other sites and subdomains (collectively, the “Platform” or “STOR Platform”) owned and operated by STOR Management LLC (“we”, “us”, “our” or the “Company”). By accessing the Platform, you confirm that you understand and agree to these terms and conditions, together with any documents that may be expressly referred to and are incorporated by reference (the “Terms”).
The Platform serves as a marketplace where users can explore and invest in various Series LLCs that are part of a broader Series structure. Each Series LLC owns a distinct self-storage facility. Users can review details of these Series LLCs and purchase units represented by digital tokens corresponding to an ownership interest.
The Platform retains the right, although not obligated, to intervene in disputes between users.
The Platform reserves the right to amend or modify these Terms at any time. Continued use of the Platform means acceptance of updated Terms.
02. U.S. Accredited Investors Only
To participate, each purchaser must qualify as an accredited investor under Regulation D, Rule 506(c). By using the platform, you represent that you meet SEC accredited investor criteria. The Platform may verify status and restrict access if requirements are not met.
03. Account and Wallet
To acquire digital tokens, users need a blockchain address and third-party wallet.
- Your Account is linked to your blockchain address
- Wallets are not operated by the Platform
- You are responsible for wallet security
- Transactions are confirmed via the Ethereum network
- Public wallet addresses become visible during transactions
The Platform is not liable for third-party wallet issues.
04. Services
Our website does not support direct token purchasing. Transactions occur through direct communication, payment verification, and token transfer via storholdings.com using Securitize integration.
05. Payment, Fees and Taxes
You may purchase STOR Tokens with ETH.
- Platform may charge fees
- Fees may change
- No refunds on fees
- Smart contracts automate payments
- Gas and third-party fees are not controlled by the Platform
- Users are responsible for taxes

The Platform does not provide investment, tax, or legal advice. Educational information does not constitute professional advice.
07. License to Access and Use Services
You receive a limited, nonexclusive license to use Services subject to compliance with these Terms. All trademarks and intellectual property remain owned by the Company or licensors.
08. User Conduct
You represent and warrant that:
- You are of legal age
- You are not under sanctions
- You comply with laws
- You will not upload unlawful or harmful content
- You will not defraud, harass, or misuse the Platform
- You will not use automation tools to scrape data
- You will not create competitive services
Violation may result in suspension or termination.
09. Disclaimers
The Platform is provided “as is” without warranties.
We disclaim:
- Accuracy guarantees
- Security guarantees
- Virus-free assurances
Users accept risks of internet usage, blockchain transactions, and security breaches not caused by gross negligence.
10. Limitation of Liabilities
To the fullest extent permitted by law, the Company is not liable for indirect or consequential damages. Maximum aggregate liability is the greater of $100 or fees paid by you.
11. Indemnification
You agree to defend and indemnify the Platform against claims arising from:
- Your breach of Terms
- Misuse of the Platform
- Legal violations
- Intellectual property claims
12. Assumption of Risk
You acknowledge risks including:
- Crypto price volatility
- Blockchain transaction irreversibility
- Cybersecurity threats
- Tax responsibility
- Network upgrades affecting assets
13. Termination
You may stop using the Platform at any time. We may terminate access for violations or suspected fraud.
14. Privacy Policy
Your use of the Platform is subject to our Privacy Policy.
15. Severance
Invalid provisions do not affect the remainder of these Terms.
16. Governing Law
These Terms are governed by Delaware law.
17. Dispute Resolution; Arbitration
All disputes will be resolved via binding arbitration. Class actions are waived.
18. Miscellaneous Terms
These Terms constitute the entire agreement. Rights cannot be transferred without consent. Section headings have no legal effect.
